The Challenge

The company is an AI-enabled B2B air-travel distribution platform, and global distribution systems and large online travel agencies are its natural acquirers. Standalone trading multiples undervalue an asset like this to a strategic buyer. Stakeholders needed a quantified, defensible premium case for negotiations that would hold up under corporate-development scrutiny.

Our Approach

  • Triangulated standalone value from three methods: revenue-multiple comps, ARR-multiple comps, and a Rule-of-40-adjusted multiple.
  • Modeled seven strategic premium levers, each as an NPV with a realistic seller capture share: build-vs-buy speed to market, an AI-agentic re-shopping moat (plus IP and data optionality), a churn shield (servicing-cost takeout and NRR/LTV uplift on the acquirer's book), a defensive competitor-denial premium, distribution cross-sell, adjacent-category TAM expansion, and take-rate normalization.
  • Applied adjustments for customer concentration, the key-person retention pool, and antitrust closing risk informed by blocked precedent transactions in the sector.

What We Found

  • The levers overlap and must not be summed at face value. The model applies a realism factor and a premium cap so the stacked theoretical maximum is separated from a landable outcome.
  • In the base case the realistic landed value came out around 1.5× standalone, under half of the naive stacked total. That is a number corporate development teams can underwrite.
  • Two-way and per-lever sensitivities show which acquirer-specific drivers move value most, so the pitch can be tailored to each bidder.

Outcome & Impact

  • Produced a negotiation-ready bid-ask ladder (floor, conservative bid, target, aspirational ask, theoretical ceiling) anchored in each acquirer's own economics.
  • Added a deal-structure playbook covering cash vs. stock mix, earnouts, R&W insurance vs. escrow, the working-capital peg, and reverse termination fees sized to regulatory risk.
